1. Acceptance of Terms
1.1 Welcome to Pcubed Design Studio ("the Agency"). By accessing or using our website and services, you agree to comply with and be bound by the following terms and conditions ("Terms"). If you do not agree to these Terms, please refrain from using our website and services.
2. Services
2.1 The Agency provides design and video production services as described on our website and in any corresponding project proposals.
2.2 The details of the services, including deliverables, timelines, and fees, will be outlined in project proposals and agreements between the Agency and the client.
3. Payment
3.1 Clients agree to pay the Agency the agreed-upon fees for the services provided.
3.2 A deposit, as specified in project proposals, is required before the commencement of any work. The balance is due upon completion of the project.
3.3 Invoices not paid within 7 days of the due date will incur a late fee of $100.00 or 50% per month, whichever is greater.
4. Intellectual Property
4.1 The Agency retains ownership of all intellectual property rights associated with the design and/or video production until full payment is received.
4.2 Upon full payment, the client is granted a non-exclusive, non-transferable license to use the final deliverables for the intended purpose outlined in the project proposal.
5. Confidentiality
5.1 Both the Agency and the client agree to keep confidential any proprietary or sensitive information shared during the course of the project.
5.2 The client grants the Agency the right to include the completed project in its portfolio and marketing materials.
6. Revisions and Changes
6.1 The client is entitled to upto three(3) rounds of revisions as specified in the project proposal. Additional revisions will be subject to additional charges.
6.2 Major changes to the project scope after commencement may result in additional fees and an extension of the project timeline.
7. Termination
7.1 Either party may terminate the agreement with written notice if the other party breaches any material term of these Terms.
7.2 In the event of termination, the client agrees to pay for all services provided up to the termination date.
8. Limitation of Liability
8.1 The Agency shall not be liable for any consequential, indirect, or special damages arising out of or in connection with our services.
9. Governing Law
9.1 These Terms shall be governed by and construed in accordance with the laws of Pennsylvania.
10. Changes to Terms
10.1 The Agency reserves the right to modify or revise these Terms at any time. Clients are responsible for regularly reviewing the Terms posted on our website.
By using the services of the Agency, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
